This agreement outlines the terms and conditions governing your use of the BehaviorScores platform. Please read these terms carefully before accessing or using our services.

Acceptance of Terms

By accessing and using the BehaviorScores platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.

These Terms of Service constitute a legally binding agreement between you (whether personally or on behalf of an entity) and BehaviorScores concerning your access to and use of our website, applications, and services.

We reserve the right to modify these terms at any time. Material changes will be notified via email or through prominent notice on our platform. Your continued use of the service after such modifications constitutes acceptance of the updated terms.

Eligibility Requirements

To use BehaviorScores, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

You must operate a legitimate e-commerce business on the Shopify platform. We reserve the right to verify your business credentials and may suspend or terminate accounts that do not meet our eligibility criteria.

Important: BehaviorScores is designed exclusively for Shopify merchants. Integration with other e-commerce platforms is not currently supported.

Account Registration & Security

Account registration requires authentication through Shopify OAuth. You are responsible for maintaining the confidentiality of your Shopify credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

You may not share your account access with third parties or use another user's account without permission. Each Shopify store must have its own separate BehaviorScores account.

Description of Services

BehaviorScores provides intelligent coupon optimization services for e-commerce merchants. Our platform analyzes customer behavior to determine the optimal discount strategy, helping you reduce unnecessary coupon usage while maintaining conversion rates.

Core Features Include:

  • Behavior-based customer scoring algorithms
  • Dynamic coupon application at checkout
  • A/B testing capabilities for discount strategies
  • Analytics dashboard with performance metrics
  • Network-based optimization suggestions

Feature availability varies by subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice to affected users.

Pricing & Payment Terms

Subscription fees are billed through the Shopify App Billing system. By subscribing to a paid plan, you authorize Shopify to charge your payment method on file for the applicable subscription fees.

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of our services. Prices are subject to change with 30 days' notice.

Refund Policy: Subscription fees are non-refundable except where required by applicable law. Pro-rated refunds may be issued at our discretion for annual subscriptions cancelled mid-term.

Usage-based charges (if applicable to your plan) are calculated based on the number of processed orders during each billing cycle. Order counts are determined by our systems and are considered final.

Data Processing & Privacy

Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, processing, and use of data as described in our Privacy Policy.

We collect and process customer behavior data from your Shopify store to provide our scoring and optimization services. This data is processed in accordance with applicable data protection laws, including GDPR where applicable.

Data Security Measures:

  • Industry-standard encryption for data in transit and at rest
  • Regular security audits and penetration testing
  • Access controls and audit logging
  • Compliance with Shopify's security requirements

You remain the data controller for your customer data. We act as a data processor and will only process data in accordance with your instructions and these Terms.

AI Technology & Automated Processing

We may utilize artificial intelligence technologies, including language models, to generate recommendations, insights, and optimization suggestions. Our commitment to your privacy remains paramount when using these technologies.

Privacy Safeguard: No personally identifiable customer data is sent to external AI models. All AI-powered analysis is performed using aggregated, anonymized data only.

Data Collected

  • Order Information: Transaction values, products purchased, order dates
  • Customer Data: Purchase history, order frequency, customer behavior patterns
  • Behavioral Signals: Browsing behavior and session data (when available through Shopify)

How We Use Data

  • Generate purchase propensity scores for each customer
  • Apply machine learning algorithms for predictive analytics
  • Automated discount decisions are made by our system based on configured thresholds
  • Aggregated and anonymized data may be used to improve our algorithms and generate industry benchmarks

Automated Decision-Making

Our service utilizes automated processing to determine whether a customer should receive a discount at checkout. These decisions are based on behavior scores calculated from historical purchase patterns and configured store parameters.

You maintain full control over the parameters that guide these automated decisions through your app settings. You may adjust thresholds, discount values, and exclusion rules at any time.

Data Security

All data is stored in cloud infrastructure with encryption in transit (TLS 1.3) and at rest (AES-256), following industry-standard security practices. Access is restricted and audited in accordance with our security policies.

Intellectual Property Rights

All intellectual property rights in the BehaviorScores platform, including our algorithms, software, designs, trademarks, and documentation, are owned exclusively by BehaviorScores or our licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the platform solely for your internal business purposes during the subscription period.

You may not copy, modify, distribute, sell, or lease any part of our services, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable law permits such activities.

Any feedback, suggestions, or ideas you provide regarding the platform become our property, and we may use such feedback without restriction or compensation to you.

Prohibited Uses

You agree not to use the BehaviorScores platform for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

  • Attempting to circumvent any security features or usage limitations
  • Using the service to engage in fraudulent or deceptive practices
  • Interfering with or disrupting the integrity or performance of the platform
  • Accessing data or features not intended for your use
  • Reselling or redistributing the service without authorization
  • Using automated systems to access the platform in a manner that exceeds reasonable use
  • Violating any applicable laws, regulations, or third-party rights
Warning: Violation of these prohibitions may result in immediate termination of your account and potential legal action.

Limitation of Liability

To the maximum extent permitted by applicable law, BehaviorScores shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim. This limitation applies regardless of the theory of liability.

We do not guarantee that our scoring algorithms will improve your business metrics or reduce your coupon costs. Results vary based on numerous factors outside our control, including your store's characteristics, customer base, and market conditions.

The platform is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless BehaviorScores and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of and access to the platform
  • Your violation of these Terms of Service
  • Your violation of any third-party rights, including intellectual property rights
  • Any claim that your use of the service caused damage to a third party
  • Your content or data submitted to the platform

This indemnification obligation will survive the termination or expiration of these Terms and your use of the platform.

Termination

Either party may terminate this agreement at any time for any reason by providing written notice to the other party. You may terminate by uninstalling the app from your Shopify store or by contacting our support team.

We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have violated these Terms or if required to do so by law.

Upon Termination:

  • Your license to use the platform immediately expires
  • We may delete your account data after a reasonable retention period
  • Any outstanding fees become immediately due
  • Provisions that by their nature should survive will remain in effect

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration. This waiver shall not apply where prohibited by applicable law.
